CONTRACT ASSIGNMENT
FOR GOOD AND VALUABLE CONSIDERATION, receipt of which is hereby acknowledged, [Name of Assignor], hereinafter referred to as Assignor, hereby conveys and assign to [Name of Assignee], hereinafter referred to as "Assignee", any and all of my/our ownership rights and interest in the following Contract: [Description of contract]
Such Assignment of contract being contingent upon the representation of the assignor(s) that the contract is fully assignable, is not for personal services, and has not been terminated.
Upon Assignment, the Assignee shall perform all of the duties of the assignor(s) pursuant to the contract and shall indemnify the assignor(s) from any and all claims arising out of the contract.
